Greg Limoncelli represents foreign and domestic financial institutions in commercial lending, trade finance, regulatory, real estate, litigation, workout, and general corporate matters. Commercial lending matters include single lender and syndicated facilities involving cash flow, secured, asset-based, acquisition, highly leveraged, and structured facilities. Greg also has extensive experience in representing domestic financial institutions in the establishment of residential loan programs in New York State.

Parallel with his experience representing financial institutions in banking and lending transactions, Greg has often been called upon to represent borrowers in financing transactions. Such transactions include the representation of private equity firms in various industries including the financing of the acquisition of a television production company, the financing of the acquisition of a national restaurant chain, the financing of the acquisition of a home materials manufacturer and the financing of the acquisition of an energy services company. Other recent transactions include the representation of the seller in a receivables purchase financing for medical equipment purchased by an African nation and the representation of a hygiene company in the refinancing of its bank debt. As a member of the firm's Opinion Committee, Greg has extensive experience in the preparation of third-party legal opinions including those involving complex secured transactions.

Greg also represents non-financial institutions in the formation and organization of corporations, limited liability companies, limited partnerships and general partnerships; the preparation and negotiation of shareholder agreements, operating agreements and partnership agreements; the acquisition and sale of businesses; the dissolution and liquidation of businesses; the acquisition, sale and leasing of commercial real estate; and the private placement of limited partnership interests.

Greg has extensive experience in representing entities in the restructuring and workout of their bank debt, in representing Chapter 7 bankruptcy trustees in the sale of assets, and in representing private equity companies in supplying debtor-in-possession financing or the purchase of fulcrum debt in connection with Section 363 purchases.

Greg is also Co-Chair of the firm's Senior Living Facilities practice. His experience includes the raising of capital for, and organization of, acquisition partnerships and limited liability companies, the preparation of agreements for facility operators and the acquisition, sale and financing of assisted living facilities and skilled nursing facilities.
