Mary Carroll, Teddy Klinghoffer, Esther Moreno and Christina Russo were featured in the weekly "Dealmakers" section of the Daily Business Review, which highlights notable transactions led by attorneys in South Florida. The article provides an overview of  how the four lawyers represented OPKO Health, Inc., a multi-national biopharmaceutical and diagnostics  company based in Miami, through two separate deals simultaneously. Carroll and Klinghoffer led OPKO in its acquisition of Cytochroma Inc., a Canadian drug company focused on developing and commercializing products for patients with kidney disease and Vitamin D insufficiency for a purchase price of up to $290 million. Moreno and Russo helped the company close its first convertible note deal, a $175 million private offering of its three percent convertible senior notes due 2033. The feature underscores the challenges the team faced in working together to successfully complete both transactions in an accelerated timeframe.

"A buyout of this scale is noteworthy for transactions within the middle market," Carroll said. "We are seeing a growing demand for investments within the health care provider and services sector. In general, investments themes are widely aimed at targeting consumer-directed health care options. Despite the increasingly competitive landscape and heightened regulatory environment, we were able to negotiate favorable terms for OPKO in a short amount of time."
