Mark Lichtenstein will speak on a panel titled, “Real World Applications of Charter, Bylaw, and Related Provisions in LLCs, Partnerships, and Business Entities” at the American Bar Association's (ABA) Business Law Virtual Section Annual Meeting. The panel will focus on various business entities, including corporations, LLCs and joint ventures and the governing law and the continuously evolving documents that bind these entities, including charters, bylaws, stockholder agreements, and operating agreements. The panel will review recent trends and discuss practical considerations impacting negotiations of governing document provisions, novel litigation issues (and relevant drafting considerations for governing documents), and certain bankruptcy considerations, including the enforceability of corporate authority and other similar provisions, in the event of an intervening bankruptcy.
