Press Release

Akerman Senterfitt recently represented Vology Data Systems, a global provider of new and certified pre-owned networking and telecommunication solutions, in its merger with Bayshore Technologies, a systems integrator and Hewlett Packard (HP) reseller known for its IT consulting practice and product fulfillment capabilities. Hyde Park Capital Advisors LLC served as exclusive financial advisor to Vology Data Systems.

The merged companies, both based in Tampa, will form one company known as Vology, a technology solutions company. Bayshore Technologies will serve as the Vology's professional services delivery division.

David Doney, managing shareholder of Akerman's Tampa office, served as lead lawyer representing Vology Data Systems in this deal and several other transactions, including the August 2012 acquisition of Sooner Network Solutions Inc. Akerman also represented Vology Data Systems in a $32.5 million recapitalization transaction in February 2011 that comprised equity, mezzanine financing, and senior bank debt aimed at improving Vology's financial position and providing additional working capital to fund growth initiatives including potential acquisition opportunities.

"Akerman and David have represented Vology Data Systems for many years -- most recently in last year's acquisition and recapitalization activities, and now in the merger with Bayshore," said Mary Carroll chair of the Akerman Corporate Practice Group. "It's exciting to continue to work with their dynamic leadership and see the company strengthen and grow in a very competitive marketplace."

Beth Alcalde, of counsel in Akerman's Taxation Practice Group, assisted Doney with employee benefits due diligence and integration for the merger.
