Alyssa Garcia focuses her practice on corporate transactions in the energy and infrastructure sector. She has experience in supporting project finance and development matters for utility-scale solar, wind, and battery energy storage projects, including tax equity, debt financing, development contracts and advice, and M&A transactions. Alyssa drafts and reviews purchase agreements, development-related agreements, operating agreements, disclosure schedules, consents, estoppels, and closing deliverables.

She also assists with due diligence reviews of organizational documents, material contracts, and financing agreements in connection with project financings and acquisitions, and supports entity formation, corporate governance, and post-closing matters for project companies and investment vehicles. Alyssa combines this transactional experience with a strong tax foundation. She holds an LL.M. in Taxation and served as a legal extern with the IRS Office of Chief Counsel, where she appeared before the United States Tax Court.
