Arielle Flamenbaum focuses her practice on capital markets and corporate transactions, representing public and private companies, SPACs, and underwriters in a broad range of securities and M&A matters. Her experience includes initial public offerings, at-the-market offerings, PIPEs, private placements, and strategic acquisitions.

Arielle regularly drafts and reviews registration statements and periodic filings with the U.S. Securities and Exchange Commission, including Forms S-1, S-3, 10-K, 10-Q, and 8-K. She also prepares underwriting agreements, legal opinions, governance documents, stock and asset purchase agreements, and shareholder communications. Arielle advises clients on compliance with federal securities laws and Nasdaq and NYSE listing requirements.

In addition to her capital markets practice, Arielle assists with the drafting and negotiation of joint venture, partnership, and limited liability company operating agreements, as well as registration rights, franchise, and licensing agreements. She supports transactions from due diligence through closing and works closely with our litigation and employment practices on matters involving corporate policies and employment agreements.

Arielle conducts research and prepares memoranda on corporate governance, SEC rules, blue-sky laws, and exchange rule proposals affecting public offerings and securities distributions. Her experience includes advising on cross-border transactions and governance and disclosure matters for boards of directors.

Earlier in her career, Arielle supported real estate and litigation matters, drafting transactional documents, conducting due diligence, preparing discovery materials, and assisting with trial preparation. This experience informs her practical and detail-oriented approach to corporate transactions.
