• Buske Logistics’, a portfolio company of Fourshore Partners, acquisition of Hydra Warehouse and Transportation, an integrated logistics company providing warehousing and transportation services to the bourbon and food processing industries in Kentucky and Southern Indiana.
• The acquisition of Power Funding, a premier factoring company focused on the oil, gas, and transportation industries.

West Flagler Associates, Ltd.: Assisted in the representation of West Flagler Associates, Ltd. in its sale of Magic City Casino, a licensed pari-mutuel facility, casino, and cardroom located in South Florida, to PCI Gaming Authority d/b/a Wind Creek Hospitality.

Represented Trulieve Cannabis Corp. (CSE: TRUL) (OTCQX: TCNNF), a leading and top-performing cannabis company in the United States in the acquisition of licensed cultivator and producer of medical marijuana, PurePenn LLC and Pioneer Leasing & Consulting LLC, and Keystone Relief Centers LLC, a dispensary operator doing business as Solevo Wellness, for a total upfront consideration of $66 million, on a combined basis, plus a potential combined earn-out payment of $75 million.

Represented Green Growth Brands, Inc. in the acquisition of:

• Henderson Organic Remedies LLC, a Nevada licensed marijuana dispensary and operator of a 2,693 square foot medical and retail marijuana dispensary facility located in Henderson, Nevada, for a total purchase price of $33.44 million.

• Nevada Organic Remedies LLC, a vertically integrated medical and retail marijuana company based in Las Vegas, Nevada that holds four Nevada marijuana licenses including dispensary, cultivation, production and distribution, for an aggregate consideration of $56.75 million.

• Spring Oaks Greenhouses, Inc., a holder of a Florida medical marijuana treatment center license, for the total purchase price of $54 million. The license will allow Green Growth Brands, Inc. to begin cultivation, processing, and dispensing of medical marijuana and medical marijuana products, to open up to 35 dispensaries, and to deliver throughout the state of Florida.
