He focuses his practice on mergers, acquisitions and dispositions, private equity investments, joint ventures, restructurings, carve outs, and general corporate counseling.

A significant portion of David's practice focuses on the energy and infrastructure sector, including renewables and energy transition, power generation, oil and gas exploration and production, midstream, and industrials.

Renewable Acquisitions:

Represented multiple private equity clients on the acquisitions and convertible equity financings of portfolios of utility scale wind and solar generation projects across from NextEra Energy Resources (NYSE: NEE) and NextEra Energy Partners, LP (NYSE: NEP).

Private Equity:

Represented private equity client in its preferred and common equity investment in a solar generation company as part of an $850 million recapitalization.

Private Equity:

Represented client in connection with its $400 million controlling preferred equity and debt investment in an E&P company operating in the Permian basin.

Private Equity:

Represented private equity client in its $210 million minority investment into a software company.

SPAC Transactions:

Represented multiple clients in the initial business combination of special purpose acquisition companies across multiple sectors, including solar power generation, clean energy storage, and agricultural technology.

Carve Out:

Represented client on the $268 million carve out sale of their pressure pumping business to publicly-trade company for a combination of cash and stock.

Carve Out:

Represented a global provider of industrial solutions on the sale of a majority interest in its high pressure pumping solutions segment to a private equity firm.

Restructuring:

Represented private equity sponsors in the successful completion of AEPB's $2.1 billion out-of-court recapitalization.

Joint Venture:

Represented publicly-traded E&P company in the formation of a $500 million joint venture for the development of oil and gas midstream assets and infrastructure.

M&A:

Represented an independent power development company in its $1.2 billion sale of two coal-fired power plants in the Philippines.

Platform Formation:

Represented multiple private equity clients and management teams in the formation of new sponsor-backed platform companies across a variety of sectors, including oil and gas E&P, midstream and power generation.
