Kacy Whitehead's practice includes a wide variety of real estate transactions with an emphasis on development, acquisition and disposition, debt and equity financing, and leasing of office, multi-family, retail, hospitality, industrial, and senior living projects. Her clients include pension fund advisors, REITs, private equity funds, developers, and individuals.

Kacy served as general counsel for a Dallas-based, independent hotel and management company, where she handled new acquisitions, negotiation of fee management contracts, litigation management, and all the transactional matters for the company.

Represented pension fund advisors in the acquisition, financing, and disposition of numerous existing and under-development retail shopping centers throughout the United States.

Industrial and Office Portfolios:

Represented pension fund advisory clients with joint ventures, acquisition of industrial and office portfolios, and disposition of office, retail, and industrial properties nationwide.

Leasing:

Represent pension fund advisors, REITs, private equity funds, and other real estate sector clients in major office and anchor tenant leases.

Headquarters Lease:

Represented client in the negotiation of headquarters office lease for a major architectural firm.

Major Industrial Lease:

Represented client in the negotiation of industrial lease for major liquid flavorings manufacturing facility.

Financial Institution Transactions:

Represented developer in the acquisition, entitlement, and development of over $100 million in financial institution headquarters and branch facilities nationwide.

Multi-Family REIT:

Represented multi-family REIT with the construction contract for apartment community in Rancho Cucamonga, California, and in-fill unit construction in San Francisco.

Multi-Family Development:

Represented private equity fund in the acquisition and development of multi-family developments, including negotiation of master declaration for mixed-use developments.

Equity Financings:

Represented multi-family developers with the negotiation of joint venture agreements for equity financing for numerous projects.

Senior Living Facility:

Represented client as development counsel to housing finance corporation with the development of bond-financed senior living facility in Grand Prairie, Texas.

Professional Agreements:

Represented client in negotiation of construction and design professional agreements for infrastructure and canals in 250-acre coastal residential development in California.

Major Hotel Brand:

Represented major brand hotel with the development, multi-use condominium regimes, design-build agreements technical services, pre-opening services, and operating agreements for publicly financed convention center hotels in Texas, Nebraska, and Washington.

Private Equity Investment:

Represented client in negotiation of joint venture and netting agreements for Canadian private equity group's investment in four multi-family projects in Texas.

Partnership Agreements:

Represented hotel developers in negotiation of multi-tier limited partnership agreements for new hotel.

Construction Counsel:

Represented private equity fund as construction counsel in the expansion and renovation of its hospitality holdings nationwide.

Management Agreement:

Represented client in negotiating complex golf course, tennis facility, and member club facility management agreement for resort property located in Puerto Rico.

Borrower Representation:

Represented borrowers with discounted partial and full repayments and/or acquisitions of senior and mezzanine debt.

Ritz-Carlton Hotels:

Represented private ownership group in the equity financing and de-leveraging of three Ritz-Carlton branded hotels and residences.

CMBA Transactions:

Represented multiple borrowers in CMBA loan assumptions.
