Palash I. Pandya serves as the Co-Deputy Chair of the Corporate Practice Group. Palash advises public and private companies, private equity funds, family offices and entrepreneurs in mergers and acquisitions, joint ventures, tender offers, spin-offs and venture capital investments. He also represents portfolio companies of private equity clients in their corporate transactions and general corporate matters.

With broad capital markets experience, he also represents issuers and underwriters in public and private equity and debt securities transactions, including initial and secondary public offerings, Rule 144A debt and registered direct offerings, and PIPE transactions. In addition, he counsels companies with securities law compliance, SEC reporting requirements, and corporate governance matters.

Palash’s experience spans many sectors, including restaurant, business services, telecommunications, healthcare, technology, retail and textile/apparel, giving him a unique awareness of the nuanced business challenges that clients face. His multidimensional skill set enables him to provide creative and practical solutions to complex matters.

Restaurant Acquisition:

Represented Carrols Restaurant Group, Inc. in connection with the acquisition of 165 Burger King restaurants and 55 Popeyes restaurants from Cambridge Franchise Holdings, LLC.

Restaurant Acquisition:

Represented Carrols Restaurant Group, Inc. in connection with the acquisition of 278 Burger King restaurants from Burger King Corporation.

Retail Disposition:

Represented the owners of a multistate chain optical company in sale of the business to an international optical company.

Business Services Acquisition:

Represented a U.S. based global consulting firm in multiple acquisitions in the U.S.

Telecommunications Acquisition:

Represented HC2 Holdings, Inc. in connection with the acquisition of a controlling interest of DTV America Corporation, an aggregator and operator of low power television licenses and stations across the U.S.

Healthcare Disposition:

Represented a home health care company in the sale of its business to a private equity sponsor.

Industrials Acquisition:

Represented a publicly listed company in the MRO space in connection with a $349 million acquisition of subsidiary of a publicly listed company.

Financial Services Disposition:

Represented a private investment management firm in connection with a $80 million sale to an international financial institution.

Represented Carrols Restaurant Group, Inc. in the spin-off of Fiesta Restaurant Group, Inc.

Rule 144A Offering:

Represented Carrols Restaurant Group, Inc. and Fiesta Restaurant Group, Inc. in connection with over $800 million of Rule 144A debt offerings.

Initial Public Offering:

Represented MiX Telematics Limited in connection with a $115 million initial public offering of American Depositary Shares.

Initial Public Offering:

Represented Carrols Restaurant, Inc. in connection with a $143 million initial public offering of common stock.

Public Offering:

Represented Fiesta Restaurant Group, Inc. in connection with a $142 million offering of common stock.
