Polly Ricketts advises investment managers, sponsors, and alternative asset firms on the structuring, formation, and ongoing operation of private investment funds and related vehicles. Her practice spans private equity, credit, and hedge fund strategies. She represents a broad range of clients across all stages of the fund lifecycle, from initial structuring and fundraising through ongoing SEC regulatory compliance and operational matters.

Polly has significant experience guiding clients through complex fund formations and transactions, including private credit funds, evergreen structures, and upper-tier management company and GP arrangements. She regularly advises on LP- and GP-led secondaries, GP-stakes investments, fund restructurings, continuation vehicles, as well as spinouts, lift-outs, seed and strategic investments, and co-investments.

In addition to her fund formation and transactional work, Polly counsels clients on regulatory matters, including compliance with the Investment Advisers Act of 1940 and related SEC requirements. Earlier in her career, she served in legal and in-house roles at leading global financial institutions and a major real estate investment company, where she supported asset management platforms and gained practical experience advising on fund formation and ongoing operations.
