Tammy Mercer brings more than 19 years of experience advising boards of directors and private equity clients on complex corporate governance matters. She concentrates her practice in the Delaware Court of Chancery and Delaware Superior Court, handling high-stakes disputes involving mergers and acquisitions, going-private transactions, proxy contests, valuation and appraisal issues, and directors’ and officers’ liability. Tammy also has extensive experience with indemnification and advancement proceedings, and stockholder demands for books and records.
In addition to her corporate work, Tammy regularly counsels and litigates on behalf of clients involving alternative entities — such as master limited partnerships, limited liability companies, and partnerships — particularly in cases relating to governance disputes. She also represents clients in matters concerning non-competition agreements and trade secret claims.
Dedicated to giving back, Tammy provides pro bono representation to children in foster care through Delaware’s guardian ad litem program. She is also active in many animal rights organizations in her home state of New Jersey.
