Eric Coleman and Reginald Janvier will be presenting on “Smoother Sailing: Amendments to Section 220 of the Delaware General Corporation Law Reducing Inspection Demands.” On March 25, 2025, Delaware Governor Matt Meyer signed into law substantive amendments to Delaware General Corporation Law (DGCL) Section 220, which governs stockholders' rights to inspect corporate “books and records.” Delaware courts have historically interpreted Section 220 to permit stockholders access to a broad range of documents-including letters, memoranda, and email-when necessary to fulfill a purpose.
The new amendments redefine "books and records" under the statute, create heightened requirements for inspection demands, limit access to informal communications, and allow corporations to require confidentiality before granting access. The amendments aim to balance the rights of stockholders with the need to protect corporations from burdensome and potentially abusive inspection demands.
