Mark Lichtenstein will be a panelist on an interactive webinar titled, "Structuring Special Purpose Entities: Separateness, Bankruptcy Remoteness and True Sales," hosted by Strafford. The panel will provide bankruptcy and finance counsel with insight into how to structure special purpose entities (SPEs) to achieve bankruptcy remoteness, and avoid substantive consolidation. Additional discussion will include lessons from recent bankruptcy cases involving SPEs, uncovering relevant factors in determining whether the transfer of assets to the SPE is considered a true sale, and finally what courts will consider in deciding whether substantive consolidation of the SPE and the transferor is warranted in a subsequent bankruptcy of the transferor.
