This CLE course will discuss structuring joint ventures (JV’s), preferred equity investments (PEIs), and mezzanine financing (Mezz) from the perspective of the sponsor or developer and investor and explain the advantages and disadvantages of using JV’s, PEI’s and Mezz as components of a capital stack. The panel will review how JV’s and JPEIs compare and contrast with each other and with Mezz and discuss the critical agreement terms and trends in the current market, and outline approaches for negotiating terms and provisions.
