Nicolas Maetta focuses his practice on corporate transactional matters, advising both public and private companies on mergers and acquisitions, private equity transactions, and initial public offerings. He has experience drafting a range of ancillary transaction documents, including disclosure schedules, escrow and paying agent agreements, and other governance materials. Nicolas also prepares and reviews disclosure documents for SEC reporting companies and investors, such as Forms 3 and 4, 8-K, 10-Q, and 10-K.

In addition to his transactional work, Nicolas assists clients with ongoing corporate governance matters, including drafting and reviewing organizational documents, consents, and resolutions. He manages all aspects of due diligence on target companies, reviewing contracts, organizational documents, and financial statements, and prepares diligence memorandums for representation and warranty insurers. Nicolas is dedicated to providing thorough and reliable support throughout each stage of the corporate lifecycle, from deal inception to post-closing matters.
