Paul Rutigliano has been instrumental in developing the Firm’s transactional risk practice, primarily focusing on representing underwriters in connection with transactional risk insurance policies, including representations and warranties insurance, tax insurance, and contingent risk insurance policies. As underwriting counsel, Paul actively handles all facets of the underwriting diligence process, including counseling on pre-indication submissions, assisting in policy drafting, leading underwriting calls, and preparing written follow-up questions and deal-specific exclusions, when necessary, taking into account both the legal and commercial aspects of a transaction. In doing so, and recognizing the fast track nature of the underwriting process, Paul works alongside a deep bench of practicing M&A attorneys across key practice areas ranging from corporate, tax, regulatory, labor and employment, employee benefits, intellectual property, information technology and data privacy, environmental, healthcare, government contracts, and more, to bring a 360-degree perspective on evaluating and structuring transactional risk insurance products.

In addition to his transactional practice, Paul handles employment litigation and counseling, representing companies across a wide spectrum of industries in all types of employment-related matters. He regularly defends employers against wage and hour collective and class action lawsuits, as well as claims of discrimination, retaliation, harassment and breach of contract arising out of employment and business protection agreements in federal and state courts, before government agencies, and in arbitration. Paul also has experience representing clients in commercial litigation matters involving breach of contract, business torts, corporate divorce, fraud, unfair trade practices, shareholder derivative suits, products liability, consumer protection statutes, Lanham Act claims and other business-related disputes.
